Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Desktopper and Desktopper Demo (collectively, the “Software”), provided by Athithya Paramesh (“Licensor,” “We,” or “Us”). By installing, accessing, or using the Software, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Software.

1. ACCEPTANCE OF TERMS

 

By using the Software, you accept and agree to these Terms, our Privacy Policy, and any additional terms provided within the Software. If you are using the Software on behalf of an organization, you represent that you have the authority to bind the organization to these Terms.

2. LICENSE GRANT, AND RESTRICTIONS

 

The Software is licensed, not sold. Your use of the Software is subject to the terms of our Software License Agreement.

 

2.1 Desktopper (Paid Version)

 

For users of the full version of Desktopper, you are granted a non-exclusive, non-transferable license to use the Software for personal or internal business purposes. You are purchasing the right to use the Software under these Terms, but the ownership of the Software and all associated intellectual property rights remain with the Licensor.

 

2.2 Desktopper Demo (Free Version)

 

For users of the demo version, Desktopper Demo, you are granted a non-exclusive, non-transferable right to install and use the Demo Software for personal purposes only. The Demo Software may have limited features and/or usage restrictions.

 

2.3 Restrictions

 

You agree not to:

  • Modify, reverse-engineer, decompile, or disassemble the Software.

  • Distribute, sublicense, lease, or resell the Software to third parties.

  • Use the Software in any manner that violates applicable laws or regulations.

3. USER-GENERATED CONTENT

 

The Software does not store user data in the cloud; all data created using the Software is stored locally on your device. This includes any data such as to-do lists, projects, notes, or other information that you may enter into the Software.

 

3.1 Local Storage of Data

 

All data generated or entered by you while using the Software remains stored locally on your device. The Software does not transmit, collect, or store any personal data on remote servers or cloud services. You are responsible for managing and securing your data.

 

3.2 Content Responsibility

 

While the Software itself does not control or have access to the content you generate, you are solely responsible for ensuring that any data you input or store complies with applicable laws, especially if used for business or commercial purposes. The Licensor bears no responsibility for the content you create using the Software.

4. PRIVACY POLICY

 

As the Software does not collect, transmit, or store data on external servers, your personal data remains on your device. The Licensor does not access or share your data, and the Software operates independently without the need for cloud services. Please review our Privacy Policy for more details on how we handle your data and the types of data we may collect for usage analytics.

5. USER CONDUCT

 

You agree to use the Software in accordance with all applicable laws and regulations.

 

You must not:

  • Use the Software for any illegal or unauthorized purpose.

  • Attempt to gain unauthorized access to the Software or any systems related to the Software.

  • Interfere with or disrupt the operation of the Software.

6. UPDATES AND MODIFICATIONS

 

We may provide updates, patches, or modifications to the Software to improve functionality or security. These updates will be subject to these Terms, and you agree to install such updates to continue using the Software.We also reserve the right to modify these Terms at any time. If significant changes are made, we will notify you by posting the updated Terms within the Software or via other communications. Continued use of the Software after such changes constitutes your acceptance of the new Terms.

7. TERMINATION

 

We reserve the right to suspend or terminate your access to the Software at any time if we believe you have violated these Terms or any applicable law.Upon termination, your right to use the Software will be revoked, and you must cease all use of the Software and delete any copies in your possession.

9. DISCLAIMER OF WARRANTIES

 

The Software is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

 

We do not guarantee that the Software will be error-free, secure, or available at all times. You use the Software at your own risk.

10. LIMITATION OF LIABILITY

 

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Software, even if advised of the possibility of such damages.

 

In no event shall our total liability exceed the amount you paid for the Software (or if using the Desktopper Demo, no liability).

11. INDEMNIFICATION

 

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses arising from your use of the Software, your violation of these Terms, or your violation of any applicable law or regulation.

12. GOVERNING LAW

 

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Tirunelveli, India.

13. MISCELLANEOUS

 

13.1 Severability

 

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

13.2 Waiver

 

Failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

 

13.3 Entire Agreement

 

These Terms, along with the Software License Agreement and Privacy Policy, constitute the entire agreement between you and us regarding the use of the Software.
